Legislative Developments in Sustainable Corporate Governance in the EU

As part of National Target Research Project “Corporate Law Measures to Promote the Competitiveness of the Slovenian Economy in Relation to Compliance with International Human Rights and Environmental Treaties and the Fight against Climate Change” (V5-2514), Gal Pastirk (Science and Research Centre Koper) presented a research paper co-authored with Dr. Andreja Primec (University of Maribor, Faculty of Economics and Business), entitled Legislative Developments in Sustainable Corporate Governance in the EU and Their Impact on the Evolution of Slovenian Corporate Law.

The contribution was presented at the conference ECONOMY 2025 – Conference on the Economy, Society, Technology, Security and Health, held on Thursday, 11 December 2025, at the Blue Hall of the Faculty of Economics and Business, University of Maribor. The conference was co-organised by the Maribor Society of Economists and the Faculty of Economics and Business, University of Maribor.

The presentation highlighted the key legislative developments in the European Union in the field of corporate law and their significance for the further development of the Slovenian legislative framework. Particular emphasis was placed on the changes introduced under the Omnibus I package and their impact on the shaping and implementation of the Corporate Sustainability Due Diligence Directive (CSDDD) and the Corporate Sustainability Reporting Directive (CSRD), taking into account the current state of the legislative processes within the European Parliament and the Council of the EU. In this context, the necessary adjustments to the Companies Act (ZGD-1) were also addressed, including the regulatory solutions introduced by the most recent amendments, as well as possible further changes that may be required in the future to align Slovenian legislation with the evolving EU company law framework.
